1. About Us & Acceptance of Terms

Welcome to Beehind The Scene, operated by Beehind The Scene Ltd.(“Company”, “we”, “us”, or “our”), a company incorporated and registered under the laws of England and Wales.

These Terms of Service (“Terms”) govern your access to and use of our website (beehindthescene.com), mobile-responsive applications, and two-sided marketplace platform connecting brands and clients with creative talent and professionals (including models, actors, dancers, DJs, musicians, influencers, photographers, makeup artists, stylists, and creative directors).

By registering for an account, accessing, browsing, or using our services, you confirm that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the platform.

2. Eligibility & Account Registration

To access certain features of the platform, you must register for an account as either a Creative Talent or a Brand / Client.

• Age Requirement: You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to form a binding contract. If you represent a talent under 18 years old, you must be their legal parent or registered guardian with authorized power of representation.
• Accurate Information: You agree to provide accurate, current, and complete information during registration and to keep your profile information updated.
• Account Security: You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use or security breach.
• One Account: Users may maintain one personal talent profile or one verified brand profile, unless expressly authorized in writing by Beehind The Scene Ltd.

3. Marketplace Platform Role

Beehind The Scene provides a specialized marketplace and discovery technology that enables:

• Creative professionals and artists to showcase verified portfolios, manage calendars, set rates, discover opportunities, and receive direct booking offers.
• Brands, agencies, and event organizers to discover talent, publish job opportunities, manage bookings, and securely pay for services.

4. Bookings & Service Agreements

When a Brand sends a booking offer and the Talent accepts it through the platform, a binding agreement is formed based on the agreed terms:

• Scope & Deliverables: Date, location, start and end times, specific duties, dress code/equipment, and deliverables must be clearly defined in the offer.
• Professional Standards: Creative professionals agree to arrive punctually, perform agreed services professionally, and adhere to industry standards. Brands agree to provide a safe, professional, and respectful working environment.
• Direct Communication: All initial negotiations, confirmations, and agreed modifications must be conducted or logged via the platform messaging and booking system to ensure dispute protection.

5. Payments, Fees & Payouts

Financial transactions on Beehind The Scene are processed securely through our authorized payment partners, including Stripe Connect.

• Payment Protection (Escrow): When a booking is confirmed, the Brand pays the total agreed booking amount in advance. Funds are securely held and released to the Talent upon successful completion of the engagement.
• Platform Service Fees: Beehind The Scene Ltd may charge a service fee or commission on bookings, which will be clearly displayed before you confirm any booking or offer.
• Talent Payouts:Payouts are transferred directly to the Talent's verified bank account via Stripe Connect following completion of the booking.
• Taxes & Compliance: Users are solely responsible for calculating, reporting, and remitting any applicable taxes (such as UK VAT, Income Tax, National Insurance, or self-assessment declarations with HMRC) related to income earned or services purchased.
• Off-Platform Circumvention: Attempting to solicit, pay, or receive payment outside the platform for introductions made via Beehind The Scene violates these Terms and may result in immediate account termination.

6. Cancellations, Refunds & Disputes

We understand that schedules and event plans may change. The following principles govern cancellations:

• Brand Cancellations: Cancellations made well in advance of the booking date may qualify for a full or partial refund in accordance with the specific cancellation policy stated at the time of booking. Last-minute cancellations may result in compensation paid to the Talent for reserved time.
• Talent Cancellations:If a creative professional cancels a confirmed booking without an emergency or force majeure justification, the Brand receives a full refund, and the Talent's account rating and visibility may be affected.
• Dispute Resolution: In the event of a disagreement regarding deliverables, hours, or attendance, either party may submit a dispute via the platform within 48 hours of the scheduled booking end time. Our support team will review message logs, offer details, and evidence to reach an equitable resolution.

7. User Content & Intellectual Property

• Talent Portfolios: Creative professionals retain all copyright and intellectual property ownership in their uploaded portfolio images, videos, bios, and audio.
• Limited Platform License: By uploading media to the platform, you grant Beehind The Scene Ltd a worldwide, non-exclusive, royalty-free license to display, host, resize, and showcase your profile materials solely for the purpose of operating, promoting, and providing the marketplace services.
• Content Warranty: You warrant that you own or have obtained all necessary licenses, rights, consents, and permissions to upload and publish any photos, videos, or audio on your profile.
• Deliverables & Usage Rights: Image rights, usage rights, and commercial licensing for media produced during a booking must be specified in the booking offer agreed between the Brand and the Talent.

8. Code of Conduct & Safety

We are committed to maintaining a safe, inclusive, and professional marketplace. You agree never to:

• Harass, intimidate, exploit, or discriminate against any user based on race, gender, sexual orientation, disability, age, or background.
• Post deceptive, misleading, defamatory, or explicit content.
• Use the platform for any illegal purpose or in violation of UK employment or safety laws.
• Circumvent or manipulate our fee structure or rating system.
• Reverse engineer, scrape, or harvest data from our platform without express authorization.

9. Disclaimers & Limitation of Liability

The platform is provided on an “as is” and “as available” basis. To the maximum extent permitted under the laws of England and Wales:

• We do not warrant that the platform will always be uninterrupted, timely, error-free, or secure.
• We do not endorse, guarantee, or assume responsibility for the performance, quality, legality, or suitability of any creative professional or brand.
• Beehind The Scene Ltd shall not be liable for any indirect, incidental, special, or consequential loss, loss of profits, loss of goodwill, or loss of opportunity.
• Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the total fees paid by you to us in the twelve (12) months preceding the event giving rise to liability.
• Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited by English law.

10. Termination & Account Suspension

You may close your account at any time by contacting support, provided there are no active, unfulfilled bookings or outstanding balances.

We reserve the right to suspend, restrict, or terminate your access to the platform immediately if we have reason to believe you have breached these Terms, engaged in fraudulent or unsafe conduct, or compromised the security or integrity of our community.

11. Governing Law & Jurisdiction

These Terms, their subject matter, and their formation (and any non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

Both you and Beehind The Scene Ltd irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or the platform.
